CBS Radio And Entercom To Create Radio Platform

 

Entercom Communications (Philadelphia) and CBS Corporation’s have announced a merger—pending approval by Entercom shareholders, expected to close during the second half of 2017—by which Entercom will combine with CBS Radio to create a radio platform with a nationwide footprint of 244 stations, including 23 of the top 25 U.S. markets, as well as digital capabilities and events platform.

“This agreement is great for shareholders and achieves our previously stated objectives by separating our radio business in the best possible way,” said Leslie Moonves, Chairman and Chief Executive Officer, CBS Corporation. “Entercom is a superbly run company, and together with CBS Radio’s powerful brands and remarkable people, we are creating an organization that will be even better positioned to succeed in this rapidly evolving media landscape.”

David J. Field, President and CEO of Entercom, who will lead the combined company, said, “These two great companies, with their impressive histories, complementary assets, and premier content and brands, are a perfect strategic and cultural fit, enabling us to deliver local connection on a national scale and drive accelerated growth. The merger will create a local media and entertainment company with strong, complementary assets on a national scale, including:

  • A sports platform with the rights to broadcast 45 pro sports teams, and 100+ popular local sports talk shows, as well as the CBS Sports Radio Network, which is made up of 300 affiliated radio stations across the country
  • News and news/talk format, with some of the most-listened-to news and talk radio stations nationwide
  • Music and entertainment formats with popular personalities who are leading influencers of custom curated music and entertainment experiences that drive music discovery
  • Creator of more than 4,500 live original events per year, including music festivals and large shows
  • Digital content that expands local on-air talent
  • Monetization of intellectual property for dozens of major-market radio shows
  • Legendary local stations

The combined companies’ pro forma revenue on a trailing 12 months basis was approximately $1.7 billion – which would make it the second-largest radio station owner in the United States – and adjusted EBITDA was nearly $500 million, including expected transaction synergies. The merger will create a well-capitalized company with a market cap of over $2 billion.

The combination of CBS Corporation’s radio business with Entercom will be effected through a “Reverse Morris Trust” transaction, which is expected to be tax-free to CBS and its shareholders. Immediately following the completion of this exchange offer, CBS Radio will merge with an Entercom subsidiary, with the new CBS Radio shareholders receiving Entercom shares in exchange for their CBS Radio shares in the transaction. After completion of the merger, CBS Radio shareholders will receive approximately 105 million Entercom shares, or 72% of all outstanding shares of the combined company on a fully diluted basis. Existing Entercom shareholders will own 28% of the combined company on a fully diluted basis.

Morgan Stanley & Co. LLC and Centerview Partners are serving as financial advisors, and Latham & Watkins LLP is serving as legal counsel to Entercom. Goldman, Sachs & Co. is serving as financial advisor, and Wachtell, Lipton, Rosen & Katz is serving as legal counsel to CBS Corporation.

ACM Announces Radio Awards Nominees

The Academy of Country Music has announced the full list of radio awards nominees for the 52nd Academy of Country Music Awards. The full list of Radio Award nominees will not be televised due to time constraints during the live telecast from T-Mobile Arena in Las Vegas on Sunday, April 2, 2017 at 8 p.m. ET/delayed PT on the CBS Television Network. Instead the awards will be presented during the ACM’s Party For A Cause event at The Joint, on Saturday, April 1 in Las Vegas.

MusicRow CountryBreakout Chart panel stations and personalities were among those honored with ACM radio nominations this year. WCOW-FM landed nominations in two categories, including Radio Station of the Year (Small Market), and On-Air Personality of the Year (Small Market) for the station’s Ben Butler and Arnie Andrews.

Fellow MusicRow panel stations KTHK (Idaho Falls, ID) and WXFL (Florence, AL) were also nominated in the Radio Station Of The Year (Small Market).

MusicRow, Nashville’s leading music industry publication, is proud to reveal rising country newcomers Rachael Turner (Rustic Records) and Alex Smith (Lila Records) as performers for the 2017 MusicRow Country Radio Meet & Greet and CountryBreakout Awards.

The invitation-only event will be held in February for subscribed members of MusicRow magazine, affiliates and country radio broadcasters just shortly ahead of the 2017 Country Radio Seminar.

“The MusicRow reporting panel represents some of the best stations in secondary markets and it is a privilege to shine a spotlight on the most-played artists from the CountryBreakout chart for the previous year, in addition to honoring an exemplary MusicRow chart reporter and giving nods to the songwriter with the most No. 1s,” says MusicRow Owner/Publisher Sherod Robertson. “We are excited to showcase two performances at the meet & greet with new artists also making waves on our chart, Alex Smith and Rachael Turner.”

Rachael Turner (Rustic Records): Rachael Turner’s vocals and unique spin on traditional and modern country have brought a breath of fresh air to the genre. Originally from Sugar Land, Texas, Rachael now resides in Nashville and is signed to long-standing independent record label, Rustic Records. Her first two singles peaked at No. 22 on the MusicRow CountryBreakout chart, including Turner’s “Aftershock,” which showcases her ability to blend classic country with modern influences. No stranger to the stage, Turner has almost 15 years of singing experience since her first solo performance at the ripe age of 11. As a performer throughout her teen years, Turner decided to take her experience and talents to Belmont University. It was there that she harnessed her skills with degrees in vocal performance and music business, and made the decision to pursue not only music, but country music. Turner’s passion for country music bloomed after falling in love with artists such as Martina McBride, Shania Twain, Jo Dee Messina and Faith Hill. Alex Smith (Lila Records): A baseball pitcher during high school in Alexandria, Louisiana, Alex Smith decided to pursue hits of a different kind after graduation. The personable 23-year-old commands attention, whether on stage, in music videos or on social media. Smith’s live-for-the-moment first single, “Load It Up,” has even climbed to No. 32 on the MusicRow CountryBreakout chart. Smith comes from two generations of musicians, with his father and grandfather’s influence. It wasn’t until his early teens that Smith decided to follow the same path his father had as a working musician. After playing the video game Guitar Hero, the youngster—who later regretted quitting piano lessons—became self-taught on the Taylor guitar his father gave him by watching YouTube instructional videos. While still in college in Lafayette, Louisiana, Smith took note of friends making good money from just a few hours of “work” while performing music around town. Smith landed a one-hour gig at a local daiquiri shop, which eventually led to playing enough venues to pay his way through school. The singer-songwriter began making trips to Nashville, and has since opened shows for Brett Eldredge and Uncle Kracker. He starts touring extensively in 2017 with his new band of Nashville musicians. Smith recorded his debut EP, Fear of Missing Out, at Blackbird Studios with producer Ryan Sutton. The project is available on his website and iTunes.

CAA Adds Michael Bryan In Artist Development, Brand Strategy Role

Creative Artists Agency (CAA) has added radio veteran Michael Bryan in a newly-created position within the music department to focus on artist development and artist brand strategy. Based in Nashville, Bryan will work in collaboration with client teams across the agency’s roster to help cultivate the careers of emerging artists, from curating an act’s brand and developing their social and media marketing platforms, to liaising with managers, labels and radio programmers in support of album launches. Bryan will also identify and create new touring models with radio-based properties, expanding on CAA’s success with creating/packaging branded lifestyle tours, including 2016’s Ticket To Rock and the Vans Warped Tour.

Bryan most recently served as Senior Vice President, Programming for iHeartMedia’s Nashville market, overseeing the on-air and online programming for the market’s six broadcast stations, branded digital sites, and helping to program live properties, including Guitar-B-Que for St. Jude, Battle for The Bones, and others. While at iHeartMedia, he helped break such artists as Ed Sheeran, Cam, Dan + Shay, Kelsea Ballerini, and Hozier through early radio exposure, and served as Executive Program Director for the top-rated nationally syndicated The Bobby Bones Show and The Tige & Daniel show.

BMG Acquires Nashville-Based BBR Music Group

BMG has acquired Nashville-based BBR Music Group, including its associated labels Broken Bow Records, Stoney Creek Records, Wheelhouse Records, Red Bow Records and its music publishing company Magic Mustang Music.

The agreement includes the rights to a number of major country artists including Jason Aldean, Trace Adkins, Dustin Lynch, Randy Houser, Thompson Square and others.

This is BMG’s biggest acquisition in the recordings business since its launch in 2008 and gives BMG a significant position in the Nashville music business.

Since its formation by entrepreneur Benny Brown in 1997, BBR Music Group (BBRMG) has become one of the most successful independent music companies. BBRMG has scored seven multi-platinum or platinum albums, 19 multi-platinum or platinum singles and 32 No. 1 singles across eight different artists. Aldean alone has sold over 14 million albums including 18 number one country singles and seven platinum or multi-platinum albums.

BBRMG will continue to operate from its Nashville headquarters and its 48 staff will transfer to BMG, which has released projects by Janet Jackson, Blink-182, California, Andy Grammar, Danny Gokey, PVRIS and At The Drive-In among others.

BBRMG founder Benny Brown and CFO Paul Brown will remain as consultants while all existing staff remain in their positions reporting directly to Executive Vice President Jon Loba. Loba will report to BMG US President Repertoire & Marketing Zach Katz.

BMG CEO Hartwig Masuch said, “BBR Music Group is a phenomenally successful operation whose philosophy and commitment to its artists fit perfectly with the new BMG. I have a huge respect for what Benny and his team have achieved. The combination of BBR and BMG gives artists and songwriters in Nashville and beyond a new route to the worldwide market. The acquisition of BBR Music Group marks BMG’s return to the Nashville records business after an eight-year absence. The first incarnation of BMG acquired RCA Records, including its Nashville operation, in 1986. RCA became part of the Sony-BMG joint venture in 2004, before parent company Bertelsmann sold its stake in the joint venture in 2008. The new BMG business model was launched in 2009 led by EVP Kos Weaver. Weaver has developed a diverse roster that includes Alabama, Brett Beavers, busbee, Gokey, Hillary Lindsey, Buddy Miller, and John Paul White.

Weaver says, “The BBR Music Group folks are not only close neighbors of BMG here in Nashville, they share a similar approach in their philosophy and relationships with their artists. This is an amazing match, our potential together is enormous.”

The first big party of the year is also one of the best.

The Grammy Nominee Party has it all – twinkling stars, great food, lovely location, enchanting music and a bounty of fabulons.      Staged Thursday evening, Jan. 26, at Loew’s Vanderbilt Plaza, this year’s soiree attracted such celebs as The Isaacs, Maren Morris, Kelsea Ballerini, Cassadee Pope, Luther Dickinson, Tim Stafford of Blue Highway, Doyle Lawson & Quicksilver (who harmonized a cappella for the press on the red carpet), Sierra Hull, Lori McKenna, Thomas Rhett, Drake White, The Time Jumpers, Clint Lagerberg and such CCM folks as Gordon Mote, For King & Country, Emily Weisband, Jonathan Smith, Bernie Herms and Michael Farren.

“It is with great pride that we honor these nominees and their works,” said Shannon Sanders. “The Grammy nomination is a true measure of your dedication to your craft.” The double Grammy winner is the president of the Nashville chapter of the Recording Academy. Shannon was resplendent in a silver tux jacket with a black diamond pattern and black lapels, worn over a black shirt and black bow tie.

Academy Southern regional executive Susan Stewart pointed out that the Nashville chapter has 107 nominees spread over 26 categories, including folk, reggae, blues, new age, bluegrass and r&b, as well as the country, Christian and Americana fields.

Chapter executive director Alicia Warwick made a special presentation to songwriters Mike Reid and Allen Shamblin. Their “I Can’t Make You Love Me,” as recorded by Bonnie Raitt is going into the Grammy Hall of Fame.

“You can imagine how this touches one,” said Mike. “I think of Allen as my youngest son or my baby brothers. Anyway, I love him.” Allen added, “Mike has been a true mentor to me.”

Addressing the room full of honorees, Shannon offered this advice: “Enjoy the moment. Be here. Soak it all in.”

“The moment” included smooth jazz sounds courtesy of The Birdsong Trio. The group played throughout the cocktail reception and can make any occasion seem a whole lot more elegant.

“The moment” also included a centrally sited buffet that included hot-chicken skewers, kobe beef cheeseburger sliders, fig & duck confit flatbreads, truffled mac & cheese, “So-Cal” shrimp & grits, BBQ chicken skewers, mushroom & truffle flatbreads and apple, pear and walnut salad. Plus fruit torts, chocolate covered strawberries and other sweets.

By the way, British “blue-eyed soul” superstar Sam Smith (“Stay With Me”) was a guest in the hotel. He won four Grammys in 2015 (including Record of the Year and Best New Artist), so we hoped he’d come downstairs to our party. Alas, he did not.

The Grammy Awards will take place on Feb. 12, 2017.

Shane McAnally, Jason Owen Team For Monument Records

Producer/songwriter Shane McAnally has teamed with artist manager Jason Owen to form the label, Monument Records, in collaboration with Sony Music, reports Hits Daily Double.

The venture’s first signings include Caitlyn Smith and Walker Hayes.

McAnally and Owen have brought former UMG Nashville Director of Marketing Katie McCartney to join as Sr. VP of Marketing and Label Operations for Monument. Additionally, Kelli Porter has been tapped as Manager, Marketing & Label Operations, reporting to McCartney. Formerly with UMG, Porter first served in distribution, then in the UMG Nashville marketing department over the course of four years.

“We are looking for very specific artists,” says Monument Records’ co-president Jason Owen, told Hits Daily Double, “ones who are genreless and are superstars, ones who connect, aren’t fluff and aren’t forgettable. That’s the stuff we’re going to sign: something where everyone goes, ‘We love this, but don’t know what to do with this…’ We do.”

“I think a focus on singer/songwriters is key,” said McAnally. “I’ve always believed an artist that doesn’t ‘fit’ anywhere actually fits everywhere. We won’t be limited by perceived genres. We will make music, then let it find its home—because I find that accommodating a particular genre can water down the process of an artist’s evolution.”

McAnally will continue to write and produce for artists beyond the Monument imprint.

The imprint’s staff will be based in Owen’s Sandbox management office in Nashville, where Owen continues guiding the careers of Little Big Town, Faith Hill, Charlie Worsham, Dan+Shay, Seth Ennis, and more.

The label takes the name of Fred Foster’s label, which was home to Kris Kristofferson, Dolly Parton, and many of Willie Nelson’s early recordings. The original Monument opened in the 1950s and closed in 1990.

Owen found the name on an early Little Big Town promotion photo.

“It was such an iconic, strong name,” Owen said. “When I saw that, I called Julie Swidler to see if Monument could be cleared. It had history. It represented the best of music, not genres—and it stands for something that’s going to last for ages, not just the latest trend or moment, which is what Shane and I are working to create with this label’s artists and music.”

CMA Touring Awards Honor Industry Excellence

The Country Music Association brought together industry colleagues on Monday night (Jan. 23) to celebrate and honor members of the country music touring industry. The CMA formally recognized industry stalwarts at this year’s CMA Touring Awards (formerly known as the SRO Awards) in 15 categories.

The trophies were presented during an event at Marathon Music Works in Nashville, hosted by five-time CMA Awards winner Kristian Bush. The awards also saw the inaugural CMA Touring Lifetime Achievement Award presented to Randy “Baja” Fletcher.

Greeted by CMA employees and board members, guests happily noshed on hors d’oeuvres while enjoying an open bar. Sitting down for dinner and the awards ceremony, guests dined on southern cuisine including BBQ chicken, mac & cheese pasta, kale salad, and dessert.  A house band was positioned on stage giving a fun, cool vibe between awards.

“Honoring excellence throughout the industry is a key tenet of CMA. Our touring members bring music directly to the fans night after night. It is an honor to celebrate the hard work and dedication of these professionals,” said Sarah Trahern, CMA Chief Executive Officer.

Each award was preceded by a short humorous video relating to that particular category. Some were viral in nature, while others were comical movie clips from popular films such as This Is Spinal Tap and Jerry Maguire.

Kelleigh Bannen, Luke Bryan, Kenny Chesney, Eric Church, Jessi Colter, Adam Craig, Dusty Hill, Jon Langston, Little Big Town, Darius Rucker, Cole Swindell, and Keith Urban recorded personal video messages to congratulate the winners. Former Major League Baseball All-Star Rick Sutcliffe and Miami Marlins Manager Don Mattingly also submitted special videos for Fletcher.

Dierks Bentley skipped right past the video option and attended personally to present trophies and offer praise to three winners from his touring family. “These guys represent all of us on the road,” remarked Bentley. “These awards are for the folks that make the wheels go ‘round and I’m so proud of every person that works hard night after night to make it all happen. It’s a tough job, but it’s so much fun and it’s all worth it when you can share your success with great people.”

Rock and Roll Hall of Fame members The Beach Boys’ Mike Love and Bruce Johnston made an unexpected appearance to celebrate the CMA Venue of the Year, Ryman Auditorium represented by Sally Williams.

Famed country duo and 19-time CMA Awards winners Brooks & Dunn presented Fletcher the inaugural CMA Touring Lifetime Achievement Award. During his decades-long career on the road, Fletcher served as the duo’s Production Manager for 18 years during the ‘90s and ‘00s. His work has been closely intertwined with the careers of Waylon Jennings, Randy Travis, Keith Urban, and others.

“I want to thank God for this lovely life, this journey I’ve had, coming up this fall 50 years in the music industry,” said Fletcher. “It’s unbelievable to have 50 years and six acts…You just do your job and treat people good. Do your job and have fun. I use a lot of Waylon’s lines. He had the best sticker I think of all time. It says, ‘This is no dress rehearsal. We are professionals and this is the big time.’ If you’ve got your faith, family, friends, memories, and humor, you’ve got it all… I thank everyone that I’ve had the pleasure of working with. It is a true honor to receive this award! Thank you!”

Team Chesney, all those folks, they kick ass every day to get this done. I know everybody else does too, but this is my team and I love it!” shouted CMA Production Manager of the Year Ed Wannebo.

“Thank you to CMA and thank you to everybody who gets on and off a bus every week of the year to make our artists look the best they possibly can,” exclaimed Brian O’Connell, CMA Talent Buyer/Promoter of the Year.

The celebration made clear why country music tours are among the most popular and prosperous business centers for the industry.

Winners in 15 categories were determined by CMA members in the following categories: Advertising/Public Relations/Media; Affiliated; Artist; Entertainment Services; Marketing/Digital; Musician; Personal Manager; Record Label; Talent Agent; Talent Buyer/Promoter; Touring; and Venue. Ballots were tabulated by the professional services firm Deloitte & Touche, LLP.
